利用規約 / Terms of Use

本利用規約は、ｋｉ‐ｗｉ合同会社（以下「当社」といいます）が運営するKiwi LMS、オンライン日本語レッスン、教材、研修、 および関連サービスの利用条件を定めるものです。
These Terms of Use set the conditions for using Kiwi LMS, online Japanese lessons, materials, training, and related services operated by ki-wi LLC.

1. 運営者 / Operator

本サービスの運営者は、ｋｉ‐ｗｉ合同会社（代表社員：濱野 優輝、所在地：東京都江東区亀戸6丁目5番10-603号）です。 お問い合わせは kiwi@kiwijapanese.com または +81 70-1342-4232 までご連絡ください。

2. サービス内容 / Service Content

当社は、日本語教育、オンラインレッスン、学習教材、教師研修、異文化理解・日本語コミュニケーション研修、 海外人材育成支援に関するサービスを提供します。
We provide services related to Japanese language education, online lessons, learning materials, teacher training, intercultural understanding, Japanese communication training, and global talent development support.

3. アカウント登録 / Account Registration

利用者は、正確な情報を登録し、アカウント情報を自己の責任で管理するものとします。 第三者による不正利用が判明した場合は、速やかに当社へ連絡してください。
Users must register accurate information and manage their account information at their own responsibility. If unauthorized use by a third party is discovered, notify us promptly.

4. 料金・支払い / Fees and Payment

有料サービスの料金、支払方法、提供時期は、各申込画面、請求書、または当社が提示する案内に表示します。 銀行振込、カード決済、その他当社が指定する方法を利用できます。
Fees, payment methods, and timing of provision for paid services are shown on each application screen, invoice, or notice provided by us. Available payment methods include bank transfer, card payment, and other methods specified by us.

5. 講師マーケットプレイス、税金および精算 / Teacher Marketplace, Taxes, and Settlement

当社が講師と受講者をつなぐプラットフォームまたは決済代行者としてサービスを提供する場合、 講師は自己が提供するレッスン、グループクラス、教材または関連サービスの価格を設定し、 当社はプラットフォーム利用料、手数料、税金表示および精算方法を定めることがあります。
Where we provide the service as a platform or payment collection agent connecting teachers and learners, teachers may set the price for lessons, group classes, materials, or related services they provide, and we may set platform fees, commission rules, tax display rules, and settlement methods.

• 講師が設定する価格は、別途表示がない限り、講師提供サービスの税抜価格として扱われる場合があります。 / Unless otherwise shown, a teacher-set price may be treated as the pre-tax price for the service provided by the teacher.
• 受講者の支払額には、講師提供サービスに係る消費税その他の税金が加算される場合があります。 / The amount paid by the learner may include consumption tax or other taxes applicable to the teacher-provided service.
• 当社は、講師から固定額または割合によるプラットフォーム利用料・手数料を受領することがあります。 / We may charge teachers a platform or service fee calculated as a fixed amount, a percentage, or both.
• 当社がプラットフォームまたは決済代行者として取り扱う場合、当社の手数料に係る消費税等は、原則として当社の手数料部分に対して計算されます。 / Where we act as platform or payment collection agent, tax on our platform fee is generally calculated on our fee portion.
• 講師への精算額は、受講者から講師提供サービスのために回収した金額から、当社手数料、当社手数料に係る税金、返金、チャージバック、調整額その他必要な控除を差し引いて計算されます。 / Teacher settlement is calculated by deducting our fees, taxes on our fees, refunds, chargebacks, adjustments, and other necessary deductions from amounts collected for the teacher-provided service.
• 講師は、自己の収入、消費税、所得税その他の税務上の義務について、自己の責任で確認、申告、納付するものとします。 / Teachers are responsible for confirming, reporting, and paying their own tax obligations, including consumption tax, income tax, and taxes on their income.
• 法令、税務上の取扱い、請求書制度、会計上の判断、または取引形態により当社が販売者として取り扱う必要がある場合、税金および精算方法は異なる場合があります。 / If laws, tax treatment, invoice-system requirements, accounting advice, or transaction structure require us to be treated as seller of record, taxes and settlement may be calculated differently.

6. キャンセル・返金 / Cancellations and Refunds

レッスンのキャンセル、返金、振替条件は、申込時またはサービス内で表示する条件に従います。 既に提供済みのレッスン、教材、研修、デジタルコンテンツについては、法令上必要な場合を除き返金できないことがあります。
Lesson cancellation, refund, and rescheduling conditions follow the terms shown at application or inside the service. Lessons, materials, training, and digital content already provided may not be refundable except where required by law.

7. 禁止事項 / Prohibited Conduct

• 虚偽情報の登録、なりすまし、第三者の権利侵害、不正アクセス。 / Registering false information, impersonation, infringing third-party rights, or unauthorized access.
• 教材、録画、講義内容、アカウント情報の無断共有、転載、販売、再配布。 / Unauthorized sharing, copying, sale, or redistribution of materials, recordings, lesson content, or account information.
• 講師、受講者、スタッフへの迷惑行為、差別的・攻撃的表現、営業妨害。 / Harassment of teachers, learners, or staff; discriminatory or abusive expressions; or interference with operations.
• 法令、公序良俗、当社が定める運用ルールに反する行為。 / Acts that violate laws, public order and morals, or operational rules set by us.

8. 知的財産権 / Intellectual Property

本サービス上の教材、文章、画像、動画、録画、システム、ブランド表示に関する権利は、当社または正当な権利者に帰属します。 事前の許可なく複製、配布、販売、公開することはできません。
Rights to materials, text, images, videos, recordings, systems, and brand displays on the service belong to us or lawful rights holders. They may not be copied, distributed, sold, or published without prior permission.

9. サービス変更・停止 / Service Changes and Suspension

当社は、保守、障害、セキュリティ対応、サービス改善、法令対応のため、事前告知のうえ、または緊急時は告知なく、 サービス内容を変更または停止する場合があります。
We may change or suspend service content for maintenance, failures, security response, service improvements, or legal compliance, with prior notice where practical or without notice in emergencies.

10. 免責 / Disclaimer

当社は、利用者の学習成果、就職・資格取得・収益等の特定の結果を保証しません。 当社の責任は、当社の故意または重過失がある場合を除き、利用者が当該サービスに支払った金額を上限とします。
We do not guarantee specific results such as learning outcomes, employment, certifications, or earnings. Except in cases of intentional misconduct or gross negligence, our liability is limited to the amount paid by the user for the relevant service.

11. 準拠法・管轄 / Governing Law and Jurisdiction

本規約は日本法に準拠します。本サービスに関して紛争が生じた場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
These terms are governed by Japanese law. Any dispute related to the service is subject to the exclusive agreed jurisdiction of the Tokyo District Court as the court of first instance.
